SkyeCo Networking Organization Virtual Membership Terms & Conditions

Membership Eligibility & Application
Adherence to Policies and Ethics: Your application for membership in SkyeCo’s networking organization is conditional upon your agreement to follow all SkyeCo policies, membership guidelines, and ethical guidelines. This means you agree to uphold the high standards of conduct that SkyeCo expects of its members at all times. Continued membership is contingent on maintaining a good standing within the community; any violations of SkyeCo’s policies or ethics may result in disciplinary action, including reprimand or termination of membership.<br>
Right to Accept or Reject Applications: SkyeCo reserves the right to approve or refuse any membership application at its sole discretion, for any reason deemed appropriate. Submission of an application does not guarantee membership. If an application is rejected, SkyeCo will notify the applicant, but is under no obligation to provide a detailed explanation for the decision.
Accuracy of Information & Truthfulness
Truthful Statements: Applicants must certify that all information and statements provided in the membership application are true, accurate, and complete to the best of their knowledge. By submitting an application, you attest that you have not knowingly omitted or misrepresented any material facts.
Consequences of False Information: Providing false, misleading, or incomplete information in the application is grounds for immediate rejection of the application or termination of membership, if already granted. SkyeCo may remove a member for any material misstatements without prior notice and without any reimbursement of membership dues paid.
Member Conduct & Professional Ethics
Compliance with SkyeCo’s Code of Conduct: All members must abide by SkyeCo’s Ethical Guidelines as a condition of ongoing membership. These guidelines encompasses standards for professionalism, integrity, respect, and lawful behavior in all SkyeCo-related activities. Members are expected to conduct themselves in a manner that reflects positively on the organization and its community, and to avoid any conduct that could harm SkyeCo’s reputation or other members.<br>
Adherence to Professional Standards: In addition to SkyeCo’s internal policies, members are expected to adhere to the professional and ethical standards of their own profession or industry. SkyeCo strongly believes that its members must uphold the highest standards of ethical and professional behavior. This includes following any applicable codes of ethics, licensure requirements, or regulatory standards that govern the member’s profession. All members should act with honesty, integrity, and respect in their professional dealings, consistent with both SkyeCo’s values and their professional obligations.<br>
Disciplinary Action: Failure to comply with SkyeCo’s policies or a member’s professional ethical standards can result in disciplinary measures. SkyeCo reserves the right to investigate alleged violations and determine appropriate sanctions. Such sanctions may include warnings, suspension of membership privileges, or termination of membership for cause, without refund, in order to protect the integrity of the organization. Members will be notified of any disciplinary findings and outcomes as appropriate.
Binding Arbitration Agreement
Arbitration for Disputes: By applying for and becoming a member of SkyeCo, you agree that any dispute, claim, or controversy arising out of or relating to your application, membership, or these Terms & Conditions will be resolved exclusively through final and binding arbitration, rather than in court. All disputes shall be finally resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable arbitration rules. This arbitration agreement applies to all members in all 50 U.S. states.<br>
Governing Rules and Location: The arbitration will be conducted in accordance with the AAA’s Commercial Arbitration Rules (or Consumer Arbitration Rules, as applicable) and will take place in your state of residence or participation (i.e., the state where you applied for membership), at a location reasonably convenient for both parties. The arbitrator will be a neutral third party agreed upon by both you and SkyeCo, and will have the authority to award the same damages and relief that a court could award. Each party will bear its own arbitration costs and attorneys’ fees, except as provided by AAA rules or applicable law. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.<br>
Individual Claims Only: Arbitration will be conducted on an individual basis only. You waive any right to participate in a class action or class-wide arbitration against SkyeCo. Similarly, the arbitrator shall not consolidate the claims of multiple individuals or preside over any form of representative or class proceeding. This provision is a critical part of the arbitration agreement.<br>
Binding and Final Decision: The arbitrator’s decision will be final and binding on all parties. By agreeing to arbitration, both you and SkyeCo waive the right to a trial by jury and the right to litigate disputes in court. Any claim or dispute must be filed within one (1) year of the date the claim arose, unless a shorter period is required by law or AAA rules.<br>
Exclusions: This arbitration clause does not prevent either party from seeking temporary injunctive relief or emergency orders in a court of law to prevent immediate and irreparable harm (e.g., intellectual property infringement or misuse of confidential information) while the underlying dispute is resolved in arbitration. Otherwise, this arbitration agreement is intended to be broadly interpreted and to cover all disputes between you and SkyeCo arising out of your membership.
Limitation of Liability
Limited Liability of SkyeCo: To the fullest extent permitted by law, SkyeCo and its officers, directors, employees, agents, and representatives shall not be liable for damages exceeding the total amount of membership dues you paid to SkyeCo for the year of your membership in which the claim arises. In other words, the maximum total liability of SkyeCo to any member for any claims, losses, or damages whatsoever will be capped at the amount of that member’s annual membership fee. This limitation applies collectively to all SkyeCo-related parties, as defined above.<br>
No Indirect or Consequential Damages: In no event will SkyeCo or its officers, directors, agents, or representatives be liable for any indirect, consequential, incidental, special, or punitive damages of any kind. This includes, but is not limited to, losses such as lost profits, loss of business opportunities, damage to goodwill or reputation, or any other consequential or unforeseeable damages arising out of or related to your membership or use of SkyeCo services. Such limitations apply even if SkyeCo has been advised of the possibility of those damages, and regardless of the legal theory (contract, tort, or otherwise) on which any claim is based.<br>
Applicability: The limitations in this section apply to all claims, whether arising from breach of contract, tort (e.g. negligence), strict liability, or any other legal or equitable theory. Some jurisdictions do not allow the exclusion or limitation of certain damages; if your state’s laws disallow such exclusions, those limitations above may not apply to you to the extent disallowed by law. However, in any dispute, SkyeCo’s liability will be limited to the greatest extent permitted by applicable law.
Membership Commitments & Standards
Member Responsibilities: Members are expected to use SkyeCo’s networking platform and resources in a responsible and lawful manner. You agree not to engage in any behavior that could harm other members or the organization, such as harassment, discrimination, or unauthorized commercial solicitation. Members must protect any confidential information shared through SkyeCo forums or events and use it only for its intended purpose.<br>
Professional Integrity: You represent and warrant that your membership and participation in SkyeCo will not violate any applicable laws or professional regulations. If you hold any licenses or certifications (for example, as an attorney, CPA, etc.), you must remain in good standing with your licensing boards and uphold those professional requirements while a member of SkyeCo. All members must conduct themselves with integrity, courtesy, and respect toward others, fostering a safe and inclusive professional community.
International Expansion & Compliance
Global Applicability: SkyeCo is continually expanding and may operate in multiple jurisdictions worldwide. As we grow internationally, we remain committed to maintaining the core protections and values outlined in these Terms & Conditions. All members, regardless of country, are expected to uphold the principles of honesty, integrity, and professionalism described here.<br>
Compliance with Local Laws: SkyeCo will comply with local laws and regulatory requirements in each country or region where it operates. Consequently, these Terms & Conditions may be updated and adapted over time to meet the legal requirements of different jurisdictions. For example, certain privacy, data protection, or consumer rights laws may necessitate additional terms or modifications for members in specific countries. Any such jurisdiction-specific changes will be made only as necessary to comply with local law and will not dilute the fundamental rights and protections afforded to SkyeCo and its members under these Terms.<br>
Notification of Changes: If updates are made to these Terms & Conditions to address international laws or for any other reason, SkyeCo will provide notice to members (for instance, via email or through an announcement on our website or member portal). Continued membership or use of SkyeCo’s services after an update constitutes acceptance of the new terms. Members who do not agree to a material update that is required for legal compliance in their jurisdiction may have the option to discontinue membership without penalty. SkyeCo encourages all members to review any updates to our Terms & Conditions and to reach out with questions or concerns.
Additional Legal Protections & Provisions
Indemnification: You agree to indemnify and hold harmless SkyeCo and its officers, directors, employees, agents, and representatives (the “SkyeCo Parties”) from and against any and all losses, liabilities, damages, claims, demands, suits, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your breach of these Terms & Conditions, (b) any violation of law or regulation by you in connection with your SkyeCo activities, or (c) any third-party claim arising from your actions, content, or information you provided to SkyeCo. This indemnification means you will reimburse the SkyeCo Parties for any costs or damages they incur due to your above-mentioned actions or omissions. SkyeCo will promptly notify you of any such third-party claim and may allow you to assist in the defense, but SkyeCo reserves the right to assume exclusive defense and control of any matter subject to indemnification at your expense, if it chooses.<br>
No Warranty: SkyeCo’s services and membership benefits are provided “as is” and “as available”. To the maximum extent permitted by law, SkyeCo disclaims all warranties of any kind, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, title, or non-infringement. SkyeCo does not guarantee that the networking services, events, or any other benefits will meet your expectations or produce any particular results. While we strive to facilitate valuable professional connections and resources, each member is responsible for their own interactions and outcomes. SkyeCo also makes no warranty that our website, platform, or communications will be secure or error-free at all times.<br>
Termination of Membership: SkyeCo reserves the right to terminate or suspend your membership at any time if you violate these Terms & Conditions, violate SkyeCo’s Ethical Guidelines, engage in unlawful or unethical conduct, or otherwise act in a manner detrimental to the interests of SkyeCo or its members. In the event of such termination, SkyeCo is not required to refund membership dues already paid, except where required by law or stated otherwise in these Terms (for instance, if an early termination occurs shortly after a dues payment, a prorated refund may be considered at SkyeCo’s discretion or in accordance with applicable law). Voluntary resignation of membership by you will not typically entitle you to a refund of dues for the current term. Upon any termination of membership, you must cease representing yourself as a SkyeCo member and cease use of any SkyeCo member privileges or materials.<br>
Privacy and Data Protection: All personal information collected by SkyeCo as part of the membership application or during membership will be used and protected in accordance with SkyeCo’s Privacy Policy. By agreeing to these Terms, you also agree to the terms of our Privacy Policy (available on our website), which is incorporated herein by reference. You consent to the collection, use, and disclosure of your personal data by SkyeCo for the purpose of evaluating your application, administering your membership, and providing membership benefits, in compliance with applicable data protection laws. SkyeCo may transfer your data to its affiliates or service providers (for example, an email newsletter service) for these purposes, subject to appropriate confidentiality and security measures.<br>
Non-Transferability: Membership in SkyeCo is personal to the approved applicant and may not be transferred or assigned to any other individual or entity. Membership rights and privileges may not be shared with non-members. Any attempt to transfer membership or allow another person to misuse your member credentials can result in termination of membership.<br>
Governing Law: Except to the extent that federal law (such as the Federal Arbitration Act) applies, and except as required to be overridden by the laws of your state of residence, these Terms & Conditions and any dispute that is not subject to the arbitration clause above shall be governed by and construed in accordance with the laws of the state in which SkyeCo is headquartered. However, the arbitration agreement is governed by the Federal Arbitration Act (a U.S. federal law), which will take precedence over any conflicting state laws regarding arbitration.<br>
Severability: If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable by an arbitrator or a court of competent jurisdiction, that provision shall be severed (removed) or limited to the minimum extent necessary, and the remainder of the Terms & Conditions will remain in full force and effect. The intent is that the invalid provision be adjusted rather than voided, to fulfill as much of its original purpose as legally possible.<br>
No Waiver: SkyeCo’s failure to enforce any provision of these Terms in a particular instance shall not constitute a waiver of SkyeCo’s right to enforce it in the future. Similarly, any delay or omission by SkyeCo in exercising any right or remedy under these Terms does not waive that right or remedy.
Entire Agreement
These Terms & Conditions (along with any documents explicitly incorporated by reference, such as the Ethical Guidelines and Privacy Policy) constitute the entire agreement between you and SkyeCo regarding the membership application and membership terms. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and SkyeCo with respect to membership. You acknowledge that you are not relying on any representation, guarantee, or statement not expressly contained in these written Terms.<br>
Modification of Terms
Aside from the updates discussed in the International Expansion and Compliance section, any other modifications to these Terms & Conditions will be communicated to members in writing or by electronic notice. SkyeCo may modify non-material provisions from time to time (for example, clarifying language or updating contact information) with or without prior notice. However, for any material changes that affect your rights or obligations, SkyeCo will seek to provide advance notice and, if required by law, obtain your consent. If you continue as a member or use SkyeCo services after any updated Terms become effective, that continued participation will constitute your acceptance of the revised Terms. If you do not agree to a change, you must notify SkyeCo in writing and, if necessary, cease membership.
Security and Proper Use:
To protect the integrity of SkyeCo’s networking platform, members are prohibited from engaging in unauthorized access, hacking, or any other activities that could compromise the security, availability, or reliability of SkyeCo’s systems. Members should use their login credentials only for themselves and keep their account information confidential. Any suspected security breaches or misuse of the platform should be reported to SkyeCo immediately. Members are also expected to abide by any acceptable use policies that SkyeCo implements for online forums or events.
